Origination screening

Opportunities are screened for fit against the applicable mandate before diligence resources are committed. Volume is not the objective; a screen that rejects most of what it sees is working as intended.

Counterparty considerations

Counterparties are examined for capability, operating history, and the internal coherence of the proposed use of proceeds. Inconsistency between stated purpose and structure is treated as a substantive concern.

Structural considerations

Priority, covenants, reporting obligations, and any security arrangements are reviewed for how they behave under stress rather than under expectation. Security arrangements do not eliminate risk and do not guarantee repayment or return of principal.

Documentation and approval gates

Documentation is prepared and reviewed before release. Eligibility verification, execution and funding are separate gates, each of which must be satisfied on its own terms before the next opens.

Ongoing administration

After funding, records, reporting and administration continue for the life of the position in accordance with the governing documents. Administration is treated as part of the investment, not as an afterthought to it.

Risk considerations

Private credit involves risk, including the possible loss of principal. Positions may be illiquid, transfer may be restricted, and there is no assurance of any return. The applicable offering documents contain the risk factors that govern.

    Proposed structure, priority, covenants, and any security arrangements are examined. Security arrangements reduce neither the possibility of loss nor the need for independent review.

    Documentation

    Offering and transaction documentation is prepared and reviewed before it is released to any prospective investor.

    Eligibility Verification

    Accredited-investor status is verified through the applicable review process required under Rule 506(c).
