Private offerings under Rule 506(c) of Regulation D — available only to eligible verified accredited investors. Nothing on this site is an offer to sell securities.

Investor Process

Seven defined stages. No shortcuts.

Expressing interest, being verified as accredited, receiving offering materials, executing documents and funding an investment are separate steps. Each one has to be completed before the next begins.

What Each Stage Means

The distinction between the stages is the point.

Interest is not eligibility. Eligibility is not an offer. An offer is not an executed agreement. An executed agreement is not funding. Each is treated as a separate condition.

01 — Express Interest

An expression of interest only

You submit basic contact details and an anticipated investment range. This creates no commitment to invest and no obligation on either side. Kronos does not request tax returns, bank statements, government identification numbers, or accreditation evidence through the public form.

02 — Preliminary Review

Reviewed individually

Kronos evaluates whether an offering may align with the prospective investor. A request may not proceed. No offering documentation is released at this stage.

03 — Accreditation Verification

Verification, not self-certification

Rule 506(c) requires reasonable steps to verify accredited-investor status. Verification is completed through the applicable review process, which may involve a written confirmation from a licensed professional or a documented third-party verification service.

04 — Offering Review

The documents govern

Verified eligible investors receive the applicable offering documentation for independent review. Actual terms are contained in those documents, not on this website. Prospective investors should review them with their own legal, tax, and financial advisors.

05 — Execution

Completed electronically

Required agreements and acknowledgments are completed electronically. Execution follows review; it does not replace it.

06 — Funding

Only once conditions are satisfied

Funding instructions are provided only after all applicable conditions have been satisfied. Kronos does not request funds before that point.

07 — Investor Access

Records and reporting

Executed documents and available reporting are organised through the appropriate investor environment, in accordance with the governing documents.

Document Control

Clarity at every stage.

From eligibility review through executed documentation, the process is structured so prospective investors understand what has been received, what remains outstanding, and what happens next.

Common Questions

What prospective investors ask first.

Access may be requested by prospective investors who reasonably believe they qualify as accredited investors under Rule 501 of Regulation D. Submitting a request does not confirm eligibility; eligibility is determined only through the verification process.

Rule 506(c) permits general solicitation of a private offering, but only on the condition that every purchaser is an accredited investor and that the issuer takes reasonable steps to verify accredited status. Self-certification alone is not sufficient under Rule 506(c).

Verification is completed through the applicable review process, which may include a written confirmation from a licensed attorney, certified public accountant, registered investment adviser, or registered broker-dealer, or a documented third-party verification service. Sensitive financial documentation is never requested through this website.

No. Submitting the form is an expression of interest only. It does not constitute an offer by Kronos, an agreement to invest, or any obligation on either side. Each request is reviewed individually.

Offering documentation is provided only after a prospective investor has been verified as an eligible accredited investor and the applicable preliminary review has been completed.

Funding instructions are issued only after all applicable conditions have been satisfied, including eligibility verification and execution of the required agreements and acknowledgments. Kronos does not request funds before those conditions are met.

Review the applicable offering documents in full, including the risk factors, the terms of the instrument, fees and expenses, conflicts of interest, and any limitations on transfer or liquidity. Investment involves risk, including the possible loss of principal. Prospective investors should consult their own legal, tax, and financial advisors before making any decision.

Begin with a confidential expression of interest.

Submitting the form does not create a commitment to invest or an obligation on either side. Kronos reviews each request individually.
